Ephraim Michael, JD

Ephraim Michael's practice has for 18 years focused on corporate matters, licensing, transactions, intellectual property and real estate. Ephraim also has significant experience in the music industry, specifically in: i) counseling clients concerning; i) negotiation and drafting of software license/development agreements, distribution agreements, software development agreements, outsourcing agreements and e-commerce agreements. 

Ephraim worked for a number of years as in-house counsel for Platinum Entertainment, the label of artists such as George Clinton. As an attorney at prestigious "BigLaw" firms, Ephraim negotiated and closed numerous corporate transactions including assets sales and stock sales and private placements of both debt and equity securities. Ephraim has worked extensively in commercial real estate acquisitions, zoning issues and residential closings. He also handles a number of litigation matters for his corporate clients. 

Ephraim is a graduate of the Columbia University School of Law where he was a Harlan Fiske Stone Scholar and was a law review editor. While attending law school, he worked for two years with the record/publishing company of such acts as Brittany Spears, Backstreet Boys and R. Kelly.  Prior to attending law school, Ephraim worked for 5 years as an Electrical Engineer for International Paper after graduating from Tuskegee University with a BS in Electrical Engineering. ​ Ephraim lives in Roswell, GA with his wife of 20 years, Debbie, and their 3 children.

Jackie Hutter, MS, JD

Jackie Hutter, MS, JD has over 18 years experience as a business-focused IP attorney. In addition to her role as co-founder of The Lean Legal Team of Michael / Hutter, Jackie is currently CEO and IP Strategist of Evgentech, an Atlanta-based startup company. ​ Since 2007, Jackie has been Principal of The Hutter Group, an IP Strategy consultancy where she works closely with business leaders at a variety of companies to maximize intangible asset value. She is known as a thought-leader and frequent speaking on innovation and IP topics, and in each year since 2009 been been named to the elite group of 300 top global IP Strategists by Intellectual Asset Magazine. ​ Jackie was also previously a senior IP and innovation business counselor at Georgia-Pacific in the area of consumer products and chemicals from 2005-2007 and an attorney at a Needle & Rosenberg, PC (now Ballard Spahr) where she managed a sophisticated U.S and foreign IP practice where she held progressively more senior titles until leaving the firm as a shareholder in 2005. From 1996-1998, Jackie gained substantial experience as an IP litigator at Powell, Goldstein. ​ Jackie holds a law degree from Chicago’s John Marshall Law School, where she was awarded a full scholarship and graduated with high honors, a M.S. in Pharmaceutical Sciences from University of Cincinnati and a B.S. in Chemistry from Barry University. She is also a named inventor on a U.S. patent, which resulted from her work as a hair researcher at a consumer products company.  Jackie lives in Decatur, GA in a groovy mid-Century house with her husband, an Emory University professor, their two daughters and far too many pets.
